These may not be used in connection with any product or service not offered by Soreno Water or its affiliates, in any manner likely to cause confusion among customers, or in any way that disparages or discredits Soreno Water or its affiliates. All other trademarks not owned by Soreno Water or its affiliates that appear in any Soreno Water Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Soreno Water or its affiliates.

COPYRIGHT

RISK OF LOSS

All purchases of physical items from Soreno Water are governed by a shipment contract. This means that the risk of loss and title for the items pass to you when we deliver them to the Shipping Carrier, or if the items are crossing an international border, when they clear customs in Canada.

EXCHANGES, RETURNS, REFUNDS, AND TITLE

PRODUCT DESCRIPTIONS

All software used within Soreno Water Services remains the property of Soreno Water or its software providers and is protected by Canadian and international copyright laws.

When using Soreno Water Software, you may also be using third-party services, such as a wireless carrier or mobile software provider. Your use of these services may be subject to separate policies, terms of use, and fees imposed by these third parties.

No Reverse Engineering

You are prohibited from reverse engineering, decompiling, disassembling, tampering with, or bypassing any security measures associated with the Soreno Water Software, either in whole or in part.

Conflicts

PROCEDURE FOR NOTICE AND CLAIMS OF INFRINGEMENT OF RIGHTS

If you believe your intellectual property rights or copyright have been violated, please submit your complaint to Soreno Water Customer Care immediately and within 24 hours of discovery at info@sorenowater.com with the subject line: “Infringement of Rights”. We will respond promptly to concerns from rights holders regarding alleged infringements and take appropriate action within 30 business days, including terminating repeat infringers when necessary.

Written claims of infringement of rights must include the following details:

INDEMNIFICATION

GOVERNING LAW AND DISPUTE RESOLUTION

By using any Soreno Water Services, all parties agree that the laws of the Province of Ontario, and the applicable laws of Canada therein, without regard to conflict of laws principles, will govern these Terms and any disputes that may arise, unless otherwise specified. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms. The parties irrevocably agree that any dispute, controversy, or claim arising out of or relating to these Terms, including any questions regarding its application, interpretation, implementation, or validity, shall be subject to the jurisdiction of the Province of Ontario, and further agree to submit to the jurisdiction of those courts in the Province of Ontario. The parties agree to meet to pursue resolution through negotiation or another appropriate dispute resolution process in Markham, Ontario, Canada. If the dispute is not resolved within a reasonable time, then any and all outstanding issues may be submitted to mediation in accordance with any statutory rules of mediation. If mediation is not successful in resolving the entire dispute within a reasonable time or is unavailable, any outstanding issues will be submitted to final and binding arbitration before a single arbitrator, who will have full authority to neutrally mediate and arbitrate the dispute, in accordance with the laws of the Province of Ontario. The arbitrator's award will be final, and judgment may be entered upon it by any court having jurisdiction within the Province of Ontario. Soreno Water reserves the right to seek injunctive relief or enforce its intellectual property rights in any court of competent jurisdiction. Each party will be responsible for their own costs of legal, attorney, expert, or other fees unless prohibited by law. All parties expressly waive the right to act as a class representative or class member, the right to participate in a class action, or the right to consolidate individual actions.

GOVERNING LANGUAGE

The parties expressly wish for these Terms to be written in English. In the case of any inconsistency, discrepancy, or conflict between the English version of these Terms and a translated version in another language, the English version will take precedence.

GENERAL PROVISIONS

We reserve the right to modify our Website, policies, Service Terms, and these Terms at any time. If any provision is found to be invalid, void, or unenforceable, that provision will be considered severable and will not affect the validity or enforceability of the remaining provisions. Headings are inserted for the convenience of the parties and for the purpose of interpreting the Terms. Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa. Words in the neuter mean and include the masculine and feminine and vice versa. Soreno Water's failure to enforce any provision of these Terms shall not be construed as a waiver of its rights or obligations under these terms and conditions. Furthermore, any waiver by Soreno Water of a specific provision shall not be considered a continued or additional waiver of that provision or a waiver of any other provision. Notwithstanding any statute or law to the contrary, any claim or cause of action arising from or related to these Terms must be initiated within one year from the date the claim or cause of action arose; or it will be permanently barred.

ENTIRE AGREEMENT

These Terms represent the entire understanding between you and Soreno Water and govern your access to and use of the Website and Soreno Water Services. These Terms supersede any prior agreements or any other communications, oral or written, between you and Soreno Water. Soreno Water may update these Terms at its sole discretion by posting revised terms on this site or its successor, and changes take effect upon posting.

Soreno Water products are manufactured to the highest standards of quality and workmanship. Soreno Water’s Limited Warranty (“Warranty”) covers defects in materials or workmanship for products purchased from authorized Soreno Water sellers and installed by qualified professionals, in compliance with all applicable legislations, building codes, permits, requirements and standard trade practices. The installation must adhere to Soreno Water’s installation and operation instructions as well as the Owner’s Manual, and the purchaser/owner must follow Soreno Water’s proper maintenance guidelines under normal use and conditions. Warranty Qualification

To qualify for Soreno Water’s Limited Warranty, all of the following steps must be completed:

1. The purchaser/owner must purchase the product online or from one of our authorized sellers.
2. The purchaser/owner must have the product installed by qualified professionals in compliance with all applicable legislations, building codes, permits, requirements, and standard trade practices.
3. The purchaser/owner must replace both the pre- and post- filters every six (6) months and register the purchase on our website.

4. The purchaser/owner must replace the membrane every two (2) years and register the purchase on our website.
5. Proof of purchase of applicable filters and membranes from our online store or from our authorized sellers is required.

The purchaser/owner shall assume full responsibility and risk for the safe and proper installation in compliance with all applicable legislations, building codes, permits, requirements and standard trade practices. Failure to complete any of the required steps may result in the Warranty being voided.

Warranty Commencement Date

The warranty commences on the date of purchase for the original purchaser/owner.

Warranty Period

Soreno Water’s Warranty Period depends on whether the product is professionally installed at a residential or commercial property with designated zoning. One of the following scenarios will apply:

• Residential: If the product is installed at a residential property, the warranty is valid for the original consumer purchaser who owns the home where the product was first installed, starting from the date of purchase for a specified period (which varies by product). • Commercial: If the product is installed at a commercial property, the warranty is valid for the original consumer purchaser of the property, starting from the date of purchase for a specified period (which varies by product). For details, please visit www.SorenoWater.com.

Soreno Water Limited Warranty is non-transferable and serves as Soreno Water’s sole written warranty. The warranty period runs concurrently, and only one of the applicable scenarios shall apply. In the event of a claim, the applicable warranty terms and conditions will govern, and no additional warranties shall be invoked. This Limited Warranty is valid only when the product is used for its intended purpose and under normal use and conditions. Installation by Qualified Professionals

To be eligible for Soreno Water’s Warranty Program, the product must be installed by qualified professionals in compliance with all applicable legislations, building codes, permits, requirements and standard trade practices – at the expense of the purchaser/owner. The installation must also adhere to Soreno Water’s installation and operation instructions and the Owner’s Manual. The purchaser/owner is responsible for verifying that the professionals possess the appropriate qualifications and certifications.

Exclusions to Warranty Coverage

Soreno Water is not liable for improper installation, operation, or maintenance of the product. It is the purchaser/owner’s responsibility to ensure that the product complies with all applicable legislations, regulations, and codes, and is suitable for its intended use. Any damage caused by failure to use, install, or maintain the product according to our recommendations will void the Warranty. The following exclusions apply (this list is non-exhaustive and may change):

1. Products installed outside of Canada or the United States, unless approved in writing by Soreno Water.
2. All labour, supplies, materials, and associated costs (e.g., diagnosis, lodging, transportation, shipping, handling, removal, installation, disposal) related to replacing defective parts.
3. Issues arising from water quality conditions beyond the product’s designed capability.
4. Failures, damages, or repairs due to faulty installation, misapplication, abuse, improper servicing, unauthorized alteration, improper operation, or poor maintenance.
5. Soreno Water is not liable for any water damage arising directly or indirectly from any defect in the product.
6. Any components or parts subject to misuse, alteration, neglect, or accident.
7. Products, parts, or components not installed according to applicable local plumbing or building codes.
8. Products not installed, operated, or maintained per Soreno Water’s instructions, including unauthorized aftermarket equipment.
9. Products not continuously supplied with portable water.
10. Products not operated within the factory calibrated temperature limits.
11. Products installed in direct sunlight, light, or exposed to freezing temperatures.
12. Failure due to sediment buildup or over pressurization in the waterline.
13. Failure or damage due to external perils such as floods, winds, fires, storms, lightning, accidents, broken or frozen water pipes, electrical surges, voltage irregularities, blown fuses, or open circuit breakers, as well as interruptions in electrical service, corrosive environments, or other conditions beyond our control.
14. Use of parts or components not supplied or designated by Soreno Water, or damages resulting from their use.
15. Increases in electricity or fuel costs, including unusual use of supplemental electric heat.
16. Any direct, indirect, special, incidental, or consequential property or commercial damage.
17. Products operated in unoccupied structures or for purposes other than their intended use.
18. Products removed from the original installation and reinstalled at another location.
19. Failures due to incompatible parts, modifications, or improper applications.
20. Failure due to the use of unauthorized parts, supplies, or add-on components not approved by Soreno Water.
21. Failure resulting from moisture, air, dust, sand, or similar elements entering the product due to improper handling.
22. Failure due to mismatching, inaccurate product selection, under sizing, oversizing, improper installation, or misuse.
23. Normal wear and tear or consumable items (e.g., batteries, filters, lubricants, refrigerant, seals, fuses, paint, coating, or cosmetic damage).

Warranty Claim Procedure

To file a Warranty Claim, the purchaser/owner must report the issue to Soreno Water before the Warranty expiry date by emailing Customer Care at info@sorenowater.com with the subject line “Warranty Claim,” including a description of the issue and proof of purchase. Soreno Water may request photos, videos, or additional diagnostic information prior to processing your claim.

Upon receiving your claim, Soreno Water’s Customer Care team will contact you within 2 to 5 business days. If the issue is covered by the Warranty, you will receive an email approving replacement parts or product. The purchaser/owner is responsible for the shipping costs of returning defective parts. Once the defective parts or product are received, Soreno Water will furnish replacement parts or product at no charge—provided the failure is due to defects in materials or workmanship under normal use and proper maintenance. Any associated shipping costs for replacement may be covered at our discretion.

Limitations of Warranties

All implied warranties, including those of merchantability and fitness for a particular purpose, are limited to the duration of this Limited Warranty, as permitted by law. The express warranties provided herein are exclusive and cannot be modified, extended, or altered by any party.

Indemnity

Soreno Water, along with its subsidiaries, affiliates, authorized sellers, suppliers, contractors, subcontractors, employees, agents, successors, and/or assigns, shall not be held liable for any damages to property or equipment, loss of profits or revenue, loss of equipment usage, capital costs, replacement power costs, temporary equipment costs, or any direct, indirect, special, incidental, or consequential damages. All warranties expressly exclude any incidental and/or consequential damages. The remedies provided to the purchaser/owner are the sole and exclusive remedies for any failure by Soreno Water to fulfill its obligations, and our liability shall not exceed the purchase price of the products or parts.

Correction of any nonconformity in the specified manner and timeframe constitutes full discharge of Soreno Water’s liabilities, regardless of the legal theory. No individual or entity is authorized to alter these Warranty terms. These terms supersede all prior agreements and represent the complete, final, and exclusive understanding between the parties. If any provision is deemed invalid or unenforceable, it shall be severed and the remainder shall remain in full force and effect. This Warranty grants you specific legal rights, and you may have additional rights that vary by jurisdiction.
